The FLX—FREE FRANC X is a digital currency (called cryptocurrency or hybrid token) exclusively issued by the Swiss law company FFL—FONCIERE & FINANCIERE SA registered CHE.316.517.629 member of the Association Romande des Intermédiaires Financiers (called ARIF) under number 4319.

The "FLX" brand is filed and registered with the competent office under the identification number 834460.

The FLX—FREE FRANC X meets the definition of a digital currency called payment and utility token in accordance with FINMA communication 04/2017 relating to the prudential treatment of Initial Coin Offerings (ICO) as well as the practical guide for questions of subjection concerning initial coin offerings (ICO) published on February 16, 2018, supplemented by a supplement to the practical guide for questions of subjection concerning initial coin offerings (ICO) Edition of September 11, 2019.

The FLX—FREE FRANC X takes up the following definitions:

  • Payment tokens: the "Payment tokens" category (synonym for pure "cryptocurrencies") includes tokens that are accepted as a means of payment for the purchase of goods or services in fact or according to the organizer's intention or that must serve to transmit funds and values. Cryptocurrencies confer no rights against an issuer.
    The FLX - FREE FRANC X will become a digital currency called payment token on October 15, 2025 through its introduction on international cryptocurrency exchange platforms called "Exchange platforms".
  • Utility tokens: FINMA qualifies as "utility tokens" tokens supposed to give access to digital use or service and that rely on the use of blockchain-type infrastructure.
    The FLX - FREE FRANC X is a digital currency called utility token from its launch on August 15, 2025 at noon Geneva time.

WARNING

  1. The FLX - FREE FRANC X does not fall under the category of digital currencies called investment tokens.
  2. The FLX - FREE FRANC X represents neither patrimonial values, nor a claim within the meaning of the law of obligations towards the issuer, nor a company law right within the meaning of company law.
  3. No share of future revenues of the issuing company FFL—FONCIERE & FINANCIERE SA nor any future capital flows are promised to holders of payment and utility tokens.
  4. From the perspective of economic function, the payment and utility token called FLX - THE FREE FRANC X represents neither a share, nor a bond, nor a derivative financial instrument.
